Terms of Service

Effective date: October 16, 2026

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Johnson Marketing and Consulting Group ("JMCG," "we," "us," or "our") for use of Replibox, a software-as-a-service product at replibox.com (the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a company, you represent that you can bind that company.

2. The Service

Replibox is a SaaS subscription that connects to Google Business Profile, shows reviews, generates AI replies from your preferences, auto-posts replies to 4–5 star reviews when you enable that, and holds 1–3 star reviews for your review. Features, plans, and location limits are described on the pricing page and may change.

3. Account responsibility

You are responsible for:

  • The accuracy of information you provide
  • Keeping Google and Replibox access under your control
  • All activity on your account, including replies posted through the Service
  • Telling us promptly if you believe the account is compromised

You must be able to enter a binding contract. The Service is for business use, not for consumers under 13.

4. AI replies posted on your behalf

When you connect Google Business Profile and configure the Service, Replibox may generate replies with AI and post them to Google as you. You acknowledge that:

  • Replies are posted on your behalf and appear as your business's response
  • You are solely responsible for the content, accuracy, and legality of those replies, including auto-posted 4–5 star replies and any reply you approve from Needs attention
  • AI output can be wrong, off-brand, or inappropriate. You must set preferences carefully and review held replies
  • JMCG does not guarantee any business result from using AI-generated replies

5. Acceptable use

You will not:

  • Violate law, Google's terms, or third-party rights
  • Post false, misleading, defamatory, or harassing replies
  • Manipulate reviews or use the Service to fake engagement
  • Probe, overload, or reverse engineer the Service except as allowed by law
  • Resell or sublicense the Service without our written consent
  • Use the Service if we have suspended or terminated your account

6. Billing and cancellation

  • Paid plans are subscriptions billed in advance (currently monthly) at the rates shown at checkout
  • A 14-day free trial may be offered and requires a payment card. Unless you cancel before the trial ends, the card is charged and the paid plan begins
  • Subscriptions renew automatically until you cancel
  • Cancel anytime in the billing settings (when available) or by emailing cody@johnsonmarketingandconsulting.com. Cancellation stops future charges; it does not refund the current period unless required by law
  • We may change prices with notice. Continued use after the change takes effect is acceptance of the new price
  • Taxes may apply. Stripe processes payments

7. Third-party services

The Service depends on Google, Supabase, Vercel, Stripe, and an AI provider. Their terms apply to their products. We are not responsible for outages, policy changes, or actions by those providers, including Google removing access or rejecting a reply.

8. Intellectual property

We and our licensors own Replibox, including the software, design, and trademarks. You own your content and Google Business Profile data. You grant us a limited license to host and process that content solely to provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." JMCG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT REPLIES WILL BE ERROR-FREE, THAT GOOGLE WILL ACCEPT THEM, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JMCG, ITS OWNERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM THE SERVICE OR FROM REPLIES POSTED TO GOOGLE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms, if required by a provider such as Google, or if we discontinue the product. On termination, your right to use the Service ends. Sections that by nature should survive (including account responsibility, AI-reply responsibility, disclaimers, limitation of liability, and governing law) survive.

12. Governing law (placeholder)

These Terms will be governed by the laws of the jurisdiction in which Johnson Marketing and Consulting Group principally operates, without regard to conflict-of-law rules. That jurisdiction is not specified here yet and will be updated when designated. Until then, this Section 12 is a placeholder.

13. Changes

We may update these Terms. The effective date at the top will change when we do. If a change is material, we will give reasonable notice. Continued use after the new Terms take effect is acceptance.
